Butter Motion Public Offer

Version of 2 November 2026. Site: https://buttermotion.com

1. General

1.1. This document is a public offer to enter into an agreement on the terms below. The offer is made by Denis Leonov, an individual registered as a taxpayer in Georgia (taxpayer ID 100374925) (the "Seller").

1.2. The agreement is concluded with any person with full legal capacity who is 18 or older (or of legal age in their country) and accepts the offer (the "User").

1.3. The offer is accepted by paying for a plan or a top-up pack in US dollars or euros on the site. Before paying, the User confirms agreement with the offer on the checkout page. From the moment of payment the agreement is concluded on the terms of the offer version in force at that moment.

1.4. The Terms of Use (https://buttermotion.com/legal/terms) form part of the agreement. How personal data is processed is described in the Privacy Policy (https://buttermotion.com/legal/privacy).

1.5. Contact: support@buttermotion.com.

2. Definitions

"Service" means the Butter Motion software product: the extension (panel) for Adobe Premiere Pro, the Butter Motion desktop app together with its local render module, the site https://buttermotion.com with the personal account area, and the server side. From a text prompt and (or) an image the Service creates animation (motion graphics) using artificial intelligence (AI) models. Video is rendered on the User's computer.

"Account" means the User's account linked to an email address.

"Credits" means internal units of the Service used to pay for generations and paid edits. Credits are not money or electronic money, cannot be transferred to other persons and cannot be exchanged for money, except for refunds under section 7.

"Plan credits" means credits granted by a subscription for each monthly cycle. "Top-up credits" means credits from separately purchased top-up packs.

"Plan" means a Pro or Studio subscription billed monthly or annually. Plans differ in the number of plan credits per month and the size of the cloud preset library.

"Top-up pack" means a one-time purchase of top-up credits.

"Generation tier" means the quality level chosen by the User that sets the price of a generation in credits.

"Result" means an animation (composition, clip) created by the Service at the User's request.

"Payment provider" means Lava (lava.top), which accepts payments.

3. Subject of the agreement

3.1. The Seller grants the User the right to use the Service on the terms of the chosen plan and grants Credits, and the User pays for this.

3.2. Exclusive rights to the Service, its code, design and the Butter Motion name belong to the Seller and are not transferred to the User.

3.3. Adobe and Premiere Pro are trademarks of Adobe. The Service is not affiliated with Adobe. To use the Service the User needs their own Adobe Premiere Pro license, a compatible computer (system requirements are in the documentation on the site) and an internet connection.

4. License and devices

4.1. The Seller grants the User a non-exclusive license to use the Service for its intended purpose for the term of the paid plan, and for top-up credits for as long as they remain on the balance. The territory is worldwide.

4.2. The license cannot be transferred or sublicensed. The Account must not be shared with, sold or rented to other persons.

4.3. An Account works on one device at a time. Connecting a new device automatically disconnects the previous one. A connected device stays connected for 30 days, after which sign-in has to be confirmed again. The device list and a sign-out-everywhere button are in the personal account.

4.4. It is prohibited to bypass device and credit limits, or to decompile, modify or extract the source code of the Service, except where the law expressly allows it.

5. Prices, payment and auto-renewal

5.1. Current plans, top-up packs and their prices are shown on the pricing section of the site (https://buttermotion.com/#pricing) and in the personal account. The price is fixed at the moment of payment.

5.2. Under this agreement payment is accepted in US dollars or euros through the Payment provider. Available payment methods are shown at checkout. Card details are entered on the Payment provider's page; the Seller does not receive or store them.

5.3. A promo code gives a discount on the terms shown when it is applied. If a discount takes the amount below the minimum payment, the amount is raised to that minimum.

5.4. The Account is created or topped up after the Payment provider confirms the payment. Access is linked to the email entered at checkout. The User is responsible for entering the correct email.

5.5. A subscription renews automatically at the end of each paid period (a month or a year) and is charged to the same payment method until the User cancels auto-renewal. By subscribing, the User separately agrees to these recurring charges. The next charge date is shown in the personal account.

5.6. The Seller may change prices. For an active subscription a new price applies no earlier than the next renewal, and the Seller notifies the User by email in advance. If the User does not agree, they can cancel auto-renewal.

5.7. After each payment the User receives a payment confirmation by email. An invoice for a payment can be requested at support@buttermotion.com.

6. Credits

6.1. The price of a generation in credits depends on the generation tier and is shown in the panel before starting. Which actions are free and what paid edits cost is stated in the Service and in the documentation on the site.

6.2. Plan credits are granted for each monthly cycle, including on annual plans (in monthly portions). Unspent plan credits expire at the end of their cycle and do not roll over, except in cases described in the documentation (for example, the remainder carries over on an upgrade to a higher plan).

6.3. Top-up credits do not expire and stay on the balance, including after the subscription ends.

6.4. Plan credits are spent first, then top-up credits. Within each kind the oldest credits are spent first.

6.5. If a generation fails for reasons on the Service's side (does not assemble, comes out empty, is cut off or fails during an outage), the credits are refunded automatically. Credits are also refunded if the User cancels a task while it is still waiting in the queue.

6.6. Credits are not refunded:
• for a generation declined by a content policy;
• for a generation the User cancelled after work had started;
• for a generation whose result is held because of a lost connection and will be delivered once it is restored;
• for a completed generation whose result the User did not like.

6.7. If the User deletes the Account without requesting a refund, the remaining credits are lost. Before deleting the Account, the User may terminate the agreement and request a refund under clause 7.4.

7. Cancellation and refunds

7.1. Auto-renewal can be turned off at any time in the personal account (Billing & subscription page). Access and plan credits remain until the end of the paid period, after which the plan ends. Top-up credits stay on the balance. Cancelling auto-renewal does not by itself refund the current period.

7.2. Resuming a subscription means paying for a new period. An upgrade to a higher plan applies immediately, a downgrade from the next cycle. Switching from monthly to annual billing applies immediately with payment for the year; switching from annual to monthly is arranged through support and applies after the paid year ends. Details are in the documentation on the site.

7.3. Access and credits are provided immediately after payment. Used credits, expired plan credits and the elapsed part of a paid period are not refunded, except where the service was not provided through the Seller's fault (for example, a duplicate charge for one purchase).

7.4. The User may terminate the agreement at any time. Terminating the agreement means closing the Account. In that case the Seller refunds the value of purchased credits that remain on the balance and have not expired, calculated in proportion to the price of the purchase they came from, minus the Payment provider's commission actually withheld from that payment.

7.5. Without terminating the agreement, no part of the balance is refunded and the Account stays active. Automatic credit refunds for failed generations (clause 6.5) apply regardless.

7.6. How to terminate the agreement or dispute a charge: email support@buttermotion.com from the address linked to the Account and state either that the User terminates the agreement and asks to close the Account, or which charge is disputed and why. The Seller reviews the request and replies within 14 days. If the law sets a shorter period for a specific claim, that period applies. Money is returned through the Payment provider to the original payment method. The time it takes to arrive depends on the bank.

7.7. Right of withdrawal. If the User is a consumer in the European Union, the European Economic Area or the United Kingdom, they may withdraw from this agreement within 14 days without giving any reason. The period starts on the day the agreement is concluded.

7.8. At checkout the User may ask for the Service to start immediately by ticking a separate box. In that case, if the User withdraws within the 14 days, they pay a proportionate amount for the credits already used, and the Seller refunds the rest of the payment in full, with no commission deducted. Once the Service has been fully performed (all credits of the purchase used), the right of withdrawal is lost, and the User acknowledges this by ticking that box.

7.9. To withdraw, the User sends a clear statement to support@buttermotion.com from the address linked to the Account, for example: "I hereby withdraw from my contract for the following service: (plan or pack), paid on (date). Name, email of the Account." The Seller refunds within 14 days of receiving the withdrawal, through the Payment provider to the original payment method.

8. Generation results

8.1. Results are created automatically by AI models. They may contain errors and may not match the prompt or the User's expectations. The Seller does not guarantee the quality, artistic level, accuracy or uniqueness of Results or their fitness for a particular purpose. Another user may get a similar Result.

8.2. A technically completed generation is a provided service even if the User did not like the Result. Edits and new generations are available for refinement.

8.3. The Seller claims no rights to Results. To the extent the Seller may have any rights in a Result, it permits the User free of charge to use the Result in any way, including in commercial projects, without limitation of term or territory.

8.4. The User checks each Result before use and is responsible for how it is used, including respecting the rights of third parties (trademarks, logos, images, texts, likenesses of people) and legal requirements, including advertising law.

8.5. The User is responsible for their prompts and uploaded images: the User must have the rights to them, and they must not break the law or infringe the rights of others. Rules on prohibited content are in the Terms of Use.

8.6. To perform a generation, prompts, images and composition code are sent to AI model providers, as described in the Privacy Policy.

9. "As is" and limitation of liability

9.1. The Service is provided "as is" and "as available". The Seller does not guarantee that the Service will run without interruptions or errors, will be compatible with every version of Premiere Pro and every computer, or will suit the User's purposes.

9.2. The Service depends on third-party providers (AI models, hosting, the Payment provider, Adobe). Their outages, changes and limits may affect the Service. The Seller is not responsible for them, but refunds credits under clause 6.5.

9.3. The Seller is not liable for indirect damages or lost profits, for loss of the User's projects and files (the User keeps their own backups), for missed deadlines, or for third-party claims related to the use of Results.

9.4. The Seller's total liability under the agreement is limited to the amount the User paid for the last paid subscription period or for the last purchase the claim relates to, whichever is greater.

9.5. The limitations in this section apply to the extent permitted by law. They do not limit consumer rights that cannot be limited by contract under the law, or liability for intentional breach or gross negligence.

9.6. Neither party is liable for failure to perform due to force majeure.

9.7. Nothing in this offer affects the statutory rights of consumers, including the remedies for lack of conformity of digital content and digital services, which apply notwithstanding clauses 8.1, 8.2 and 9.1 to 9.4.

10. Changes to the Service and the offer

10.1. The Seller develops the Service and may change its features, interface, AI models, generation tiers and their prices in credits. Credits already granted are kept. If a change materially worsens the terms of an already paid period, the User may terminate the agreement free of charge and receive a refund of unused purchased credits and of the unexpired part of the paid period.

10.2. Interruptions for updates and maintenance, as well as temporary outages, are possible.

10.3. The Seller may change the offer by publishing a new version on the site with its date. For an active subscription the new version applies from the next paid period. The Seller notifies Users of material changes by email.

11. Suspension and termination

11.1. The User may cancel auto-renewal and request Account deletion in the personal account at any time.

11.2. The Seller may suspend or block the Account for a breach of the agreement or the Terms of Use, for payment fraud, or when required by law.

11.3. If the agreement is terminated by the Seller without any breach by the User, the Seller refunds the value of unused paid credits and of the unexpired part of the paid period.

11.4. The agreement remains in force while the User has an active plan or unused credits, or until the Account is deleted.

12. Governing law and disputes

12.1. The agreement is governed by the law of Georgia. If the User is a consumer, this choice of law does not deprive them of the protection of the mandatory rules of the law of the country where they live.

12.2. The parties first try to settle disputes by email. If that fails: if the User is a consumer, the Seller may bring a claim only in the courts of the country where the User lives, and the User may bring a claim in those courts or in the courts of Georgia; for other Users, disputes are heard by the competent court of Georgia.
